    bear in mind that as directors they have legal duties as provided for in the Companies Act 2006 including an obligation to exercise reasonable care skill and diligence and promote the success of the company Governors could also be liable to corporate manslaughter charges if a fatal accident occurred for which the school was responsible 4 What is the funding agreement This is an agreement which will be entered into between the department for education and the academy trust which specifies how the academy will operate The agreement refers to the date when the academy will open and stop being maintained by the local authority 5 What needs to be transferred from our existing school to the academy Land assets employees and contracts will have to be transferred Most of these will be transferred from the local authority land owner although some may also have to be transferred from the governing body A commercial transfer agreement must be entered into between the academy trust the governing body and the relevant local authority 6 If the local authority transfer the land and buildings occupied by the school do they retain any liabilities for that land and buildings Once you have converted to an academy and the local authority has transferred the land and buildings to you all liabilities for such things as repairs will pass to the academy 7 What happens to the teachers and other staff once we have converted to an academy All teachers and other staff will transfer to the academy so that their employer becomes the academy trust The transfer will be subject to TUPE requirements The governors should bear in mind that the academy will become financially liable for employment disputes existing at the time of transfer unless the local authority provide appropriate indemnities 8 Our
